About this document
This is an electronic record under the Information Technology Act, 2000 and the rules made under it, and it is generated by a computer system. It needs no physical or digital signature.
It is an agreement between you and XC392 Private Limited, incorporated in India under the Companies Act, 2013, CIN U62099OD2026PTC053818, registered at Plot No. 467-1273, Kuanrada, Naguan, Jajpur Road, Jajapur 755019, Orissa, India ("we", "us", "our"), who operate the Vasini app (iOS for now) and vasini.ai.
The sign-in screen says that continuing means you accept these terms, and links you here before you do. If you do not accept them, please do not use Vasini. Our Privacy Policy explains what we do with your data and forms part of these terms.
Who can use Vasini
- You must be at least 18 and competent to contract under the Indian Contract Act, 1872. Under that Act an agreement with a minor is void, which is why this is a condition and not a preference.
- If you are under 18, you may use Vasini only through a parent or guardian who accepts these terms and is responsible for what happens under the account.
- You must not be barred from using a service like this under any law that applies to you.
- Tell us the truth in anything you give us, and keep it current.
What Vasini is
Vasini is a personal memory layer. You put something in (talk, a photo, a page you saved, typed words, or a recording you import) and Vasini writes it up as a note, files it under your own topics, and helps you find it again by searching or asking.
Vasini changes as we improve it, and no software is free of faults. Your library lives on your phone, so keep your own copy: the app can export everything as a zip, and can back up to your own iCloud.
Your account
- You sign in with Apple or Google. Keep that account secure: what happens under yours is your responsibility, including anything someone else does with your unlocked phone.
- One person, one account. Do not share it or sell it.
- Tell us promptly if you think someone else has got into it.
What you capture is yours
You own it. Your recordings, transcripts, notes, photos, saved pages and the text taken from them, chat threads, speaker names, topics and everything Vasini writes from any of it stay yours. Nothing here transfers ownership to us.
What you let us do. You give us a limited, non-exclusive, royalty-free permission to hold, send and process your content for the sole purpose of running Vasini for you: sending audio to our speech provider, sending text and images to our AI provider, mirroring your topic names, and producing what you asked for. That is the whole of it, and it ends for anything you delete.
What we will not do. We do not sell your content. We do not have it. We do not use it to train AI models, ours or anyone else's. We do not read your notes; they are not on our servers to read.
Taking it with you. Export your whole library as a zip whenever you like, from the all-notes screen, in open formats. You never need to ask.
What you must not put into Vasini
The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 require us to tell you what may not be hosted, stored or transmitted through a service like ours. So: do not use Vasini for information that
- belongs to someone else and that you have no right to;
- is obscene, pornographic, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or promotes enmity between groups on grounds of religion or caste with intent to incite violence;
- is harmful to a child;
- infringes a patent, trademark, copyright or other proprietary right;
- deceives or misleads about its origin, or is knowingly false;
- impersonates another person;
- threatens the unity, integrity, defence, security or sovereignty of India, its friendly relations with foreign states, or public order, or incites a cognisable offence;
- contains a virus or any code designed to damage or disrupt a computer system;
- relates to an online game not permitted under Indian law, or advertises one; or
- is otherwise unlawful.
Most of that list is written for services where people publish to each other. Vasini has no feed and no sharing: nobody else sees your notes. We state it in full anyway, because the rule asks us to and because it is what the law expects to find here.
Separately, do not try to probe, overload or reverse-engineer the service; resell it; get around the credit metering; or extract its output at scale to build a competing dataset.
We can suspend an account that puts you, other people, or the service at risk. Where we can give notice first, we will.
Recording other people is your responsibility
This is the most important thing in this document.
Vasini records what you point it at. The law on recording other people differs by country, by state, and by situation: sometimes everyone must agree, sometimes only you. Getting whatever consent the law requires is entirely your responsibility, not ours. Do not use Vasini to record anyone unlawfully.
AI sometimes gets things wrong
Transcripts and the notes written from them contain mistakes. Names, numbers, jargon and mixed languages are where it fails most often. Treat what Vasini produces as a helpful draft, not as a record you can rely on without reading it.
You are responsible for checking anything before you act on it or pass it to someone else. When you spot a mistake you can correct it in the app, and the correction will be remembered.
Credits, payment and taxes
- Vasini runs on usage credits.
- Credits are spent on app usage: turning audio into text, describing a photo you attach, talking to Vasini over chat, and so on.
- Credits are granted to your account when you sign up, and you can buy more. Top-ups run through Razorpay, our billing provider.
- Unused credits are not refundable, and credits cannot be exchanged for money. If we close your account for a breach of these terms, whatever is left goes with it.
- Credits are a prepayment for a service. They are not money, not a deposit, not a prepaid payment instrument, not transferable, and they earn no interest.
- Prices are in Indian rupees and exclusive of GST, which is charged as applicable.
- We never see or store your card details. Razorpay is authorised by the Reserve Bank of India, and card-on-file tokenisation is its job, not ours.
- Credits do not expire while your account is active. If that ever changes we will give you fair notice first.
- A price change applies to credits you already hold, from the date it takes effect. The cost of a job is worked out when you use it, not when the credit arrived. We will give notice before raising a rate.
Where your things live, and backups
- Your library is on your phone. Notes, transcripts and photos are in the app's own storage.
- Backup to your own iCloud is on by default, and can be turned off in Settings. You can restore from that copy or from an exported zip. That storage is yours, under Apple's terms; we cannot read it.
- Our servers hold only what the Privacy Policy lists: your account, your topic names and guidance, your chat messages, per-note metadata, and your credits. That policy is the precise list; this is the summary of it.
- Keep your own backup. One copy on one phone is not a backup. Export matters.
Other people's services
Vasini depends on other companies, named in the Privacy Policy, and when they are down, so are we. Apple's App Store has its own terms for distribution and payment, and they apply to you alongside these. When your phone fetches a page you saved, that is a request from your device to that website, on its terms.
What is ours
The Vasini software, its design, and the Vasini name and branding belong to us or to the people we licence them from. These terms give you a personal, non-transferable, revocable right to use the app for what it is for, and nothing beyond that. If you send us feedback we may act on it freely, with no obligation back to you.
What we do not promise, and what we owe
As far as the law allows: Vasini is provided as it is and as available, with no warranties of any kind. We do not promise that transcripts or written-up notes are accurate, or that the service will be uninterrupted.
Our total liability for anything arising out of Vasini is limited to whichever is greater of what you paid us in the 12 months before the claim, or ₹5,000. We are not liable for indirect or consequential loss, lost profits, lost goodwill, or lost data where you had the means to keep your own copy and did not.
None of that limits liability that cannot lawfully be limited, including under the Consumer Protection Act, 2019, and nothing here takes away a right you have as a consumer.
If a third party comes after us because of something you captured, or because you broke the recording or prohibited-use sections above, you will cover us, except where we caused it ourselves.
Suspension, and ending it
You can ask us to delete your account at any time from Settings, and cancel that request until we carry it out. We complete it within 30 days, and once it is done it cannot be undone, so export first. The Privacy Policy sets out what goes and what we must keep.
We can suspend or close an account for a serious breach of these terms, with notice where that is practical, and immediately where the law or someone's safety requires it.
The sections that should outlive the agreement do: what you capture is yours, what is ours, what we do not promise, liability and indemnity, grievance redressal, and governing law.
If something goes wrong: grievance redressal

We will acknowledge your complaint within 24 hours and resolve it within 15 days, as the Rules require. Tell us who you are, what happened, and what you would like us to do.
If we do not resolve it, you can take a data-protection complaint to the Data Protection Board of India, and a complaint about content or takedown to the Grievance Appellate Committee under Rule 3A of the 2021 Rules, within 30 days of our decision. Neither route costs you anything, and using them takes nothing away from your rights as a consumer.
General
- Notices. We will reach you at the email on your account or in the app; either counts as written notice. Write to us at [email protected].
- Assignment. You may not transfer your rights under these terms. We may, on a merger or reorganisation, and your rights travel with you if we do.
- Severability. If any part of this is held unenforceable, the rest stands.
- Waiver. If we do not enforce something straight away, we have not given it up.
- Force majeure. We are not liable for delay or failure caused by something outside our reasonable control: network or power failure, an act of government, a provider outage, natural disaster, epidemic, or war.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about Vasini. Where they conflict, the Privacy Policy wins on anything about your data.
- Language. These terms are in English. A translation is for convenience; the English governs.
Governing law, and disputes
These terms are governed by the laws of India.
If we disagree, write to us first. Most things end there, and we would rather they did. If it is still unresolved after 30 days, it goes to arbitration by a single arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue is Bhubaneswar, the language is English, and the award is final.
The courts at Bhubaneswar have exclusive jurisdiction over anything not sent to arbitration. None of this affects your right as a consumer to bring a complaint before a consumer commission where you live, under the Consumer Protection Act, 2019.
Changes, and how to reach us
We will update these terms as Vasini changes. For anything material we will tell you in the app or by email at least 15 days before it takes effect; continuing to use Vasini after that means you accept it. The current version always lives at vasini.ai/terms.
